ChatOn is a unified customer communication platform that enables businesses to manage conversations across multiple messaging channels including WhatsApp, Facebook Messenger, Instagram Direct Messages, Telegram, and others. The Platform provides tools for inbox management, automation, and analytics.

3. Account Registration

To use the Platform, you must:

• Create an account with accurate and complete information
• Maintain the security of your account credentials
• Be at least 18 years of age or have parental consent
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Third-Party Platform Integrations

The Platform integrates with third-party messaging services including Meta platforms (Facebook, Instagram, WhatsApp), Telegram, and others. By connecting these services, you agree that:

• You will comply with the terms of service of each connected platform
• You authorize us to access and process data from connected accounts on your behalf
• You are responsible for maintaining valid permissions and credentials for connected accounts
• We are not responsible for disruptions caused by changes to third-party APIs or policies
• Our use of Meta data complies with Meta's Platform Terms

5. Acceptable Use

You agree not to use the Platform to:

• Send spam, unsolicited messages, or bulk communications without consent
• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to other accounts or systems
• Use automated tools to scrape or extract data from the Platform
• Interfere with or disrupt the integrity or performance of the Platform
• Impersonate any person or entity

6. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

7. Intellectual Property

The Platform and its original content, features, and functionality are owned by ChatOn and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for your business purposes in accordance with these Terms.

8. User Content

You retain ownership of any content you submit, post, or transmit through the Platform ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process your User Content solely for the purpose of providing and improving the Platform. You represent and warrant that you have all necessary rights to grant this license.

9. Limitation of Liability

To the maximum extent permitted by applicable law, ChatOn shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform. Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or completely secure.

11. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, your right to use the Platform will immediately cease.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date at the top of this page. Your continued use of the Platform after any changes constitutes your acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.
